Disclaimer: EXCEPT AS SPECIFICALLY SET FORTH HEREIN, ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

Either party may terminate SMS services by providing written notice. We may terminate services for:

16. Dispute Resolution
Governing Law: These terms are governed by the laws of the State of California, excluding its choice of law rules.
Venue: Any disputes must be brought in state or federal courts located in San Francisco County, California.
Good Faith Resolution: Both parties agree to attempt to resolve disputes in good faith before pursuing legal action.
17. Payment Terms
Billing: Services are billed in accordance with RingCentral’s billing terms. Payment is due within thirty (30) days of invoice date.
Late Payments: Late payments may be subject to fees up to 1.5% per month or the highest rate allowed by law.
Taxes: You are responsible for all applicable taxes and fees.
18. Force Majeure
Neither party shall be liable for failure to perform due to events beyond their control, including acts of God, natural disasters, governmental actions, or telecommunications network failures.
